Welcome to Seltzer Kings.

These Terms & Conditions ("Terms") govern your access to and use of the Seltzer Kings website, including seltzerkings.com, our online store, digital content, services, and other features or offerings made available through the website (collectively, the "Site").

The Site is operated by Seltzer Kings, LLC ("Seltzer Kings," "SK," "we," "us," or "our").

By accessing or using the Site, purchasing products, submitting information, or otherwise interacting with our services, you agree to these Terms. If you do not agree with these Terms, please do not use the Site.

1. About Seltzer Kings

Seltzer Kings is a story-driven podcast network and production studio. Our work includes podcast production, audio and video production, live events, creative projects, merchandise, and related media and entertainment services.

Certain products, services, programs, events, or other offerings may be subject to additional terms, agreements, or conditions. If additional terms conflict with these Terms, the specific terms applicable to that product or service will control.

2. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms.

You agree not to:

Use the Site for any unlawful, fraudulent, or unauthorized purpose.
Attempt to gain unauthorized access to the Site, its servers, systems, or accounts.
Interfere with or disrupt the operation or security of the Site.
Use automated systems, bots, crawlers, scrapers, or similar tools to access, copy, collect, or monitor Site content without our prior written permission.
Copy, reproduce, distribute, publicly display, sell, license, or exploit Site content without authorization.
Impersonate Seltzer Kings, its employees, creators, hosts, partners, or other individuals or organizations.
Upload or transmit viruses, malware, malicious code, or other harmful material.
Use information obtained through the Site to harass, harm, defraud, or otherwise violate the rights of another person.
Use our content, recordings, voices, likenesses, trademarks, or other intellectual property to create misleading or unauthorized AI-generated or synthetic content.

We reserve the right to suspend or terminate access to the Site or any portion of it if we believe these Terms have been violated.

3. Intellectual Property

Unless otherwise indicated, the Site and its contents are owned by or licensed to Seltzer Kings and are protected by applicable copyright, trademark, intellectual property, and other laws.

This includes, without limitation:

Seltzer Kings names, logos, and branding;
Website text and graphics;
Podcast artwork and promotional materials;
Original photographs, videos, and recordings;
Written and audiovisual content;
Music and other media where owned or licensed by Seltzer Kings;
Site design and functionality; and
Other original materials made available by Seltzer Kings.

Nothing in these Terms grants you ownership of any Seltzer Kings intellectual property.

You may view and use Site content for personal, non-commercial purposes unless otherwise permitted. Any other use requires prior written permission from Seltzer Kings or the applicable rights holder.

AI, Synthetic Media, and Voice or Likeness Use

Seltzer Kings does not authorize the use of its original content, recordings, photographs, trademarks, voices, likenesses, or other intellectual property to train, develop, fine-tune, test, or operate artificial intelligence or machine-learning systems without our express written permission.

You may not use Seltzer Kings content to create an AI-generated or synthetic representation of any Seltzer Kings employee, creator, host, guest, performer, or other individual appearing in our content without the appropriate authorization.

This provision does not prohibit lawful uses of AI tools by users generally, but it does prohibit unauthorized use of Seltzer Kings-owned or controlled materials for those purposes.

4. User Submissions

From time to time, the Site may allow you to submit comments, feedback, photographs, ideas, applications, testimonials, or other materials ("Submissions").

You retain ownership of your original Submissions.

By submitting material to Seltzer Kings, you grant us a non-exclusive, royalty-free license to use, reproduce, display, and distribute that material as reasonably necessary to operate, promote, or improve the Site, our services, or the specific feature for which you submitted it.

You represent that you have the right to submit the material and that your Submission does not violate the rights of another person or entity.

We reserve the right to remove or decline to publish any Submission at our discretion.

Nothing in this section gives Seltzer Kings ownership of your original creative work.

5. Purchases and Merchandise

Products available through the Seltzer Kings online store are subject to availability.

We reserve the right to:

Limit quantities;
Correct pricing or product description errors;
Refuse or cancel an order;
Discontinue products; or
Modify product offerings at any time.

If we cancel an order after payment has been processed, we will provide an appropriate refund for the canceled portion of the order.

Product images are provided for illustration and may vary slightly from the actual product.

Returns and Refunds

Returns and refunds for merchandise are governed by our Return Policy, which is incorporated into these Terms by reference.

Please review the Return Policy before making a purchase.

Damaged, defective, incorrect, final-sale, customized, or otherwise non-returnable merchandise may be subject to different requirements as described in the Return Policy.

6. Payments

Payments for products and services may be processed through third-party payment processors.

By submitting payment information, you represent that you are authorized to use the applicable payment method.

You agree to provide accurate and complete billing and payment information.

Seltzer Kings is not responsible for unauthorized access to payment information caused by circumstances outside our reasonable control or by third-party payment processors, although we will take reasonable steps to address issues brought to our attention.

7. Professional Services

Seltzer Kings may provide podcast production, audio production, video production, editing, consulting, recording, live event, creative, and other professional services.

Services may be governed by a separate proposal, estimate, statement of work, invoice, contract, or other written agreement.

If a separate agreement exists, that agreement will control the scope, pricing, payment terms, deliverables, cancellation policies, ownership rights, and other terms specific to those services.

Nothing in these Terms replaces or overrides a written agreement entered into between Seltzer Kings and a client.

8. Events

Seltzer Kings may sell tickets to or participate in live events.

Event dates, locations, performers, guests, schedules, and other details are subject to change.

Unless otherwise stated at the time of purchase, tickets and event purchases are subject to the refund and cancellation policies provided for that specific event.

Seltzer Kings is not responsible for travel, lodging, transportation, or other expenses incurred by attendees in connection with an event unless expressly stated otherwise.

9. Third-Party Websites and Services

The Site may contain links to third-party websites, platforms, products, or services.

These third parties are independent from Seltzer Kings. We do not control and are not responsible for their content, policies, security, availability, products, services, or practices.

Your use of a third-party website or service may be subject to that provider's own terms and privacy policy.

The inclusion of a third-party link does not necessarily constitute an endorsement or partnership.

10. Accounts

Certain portions of the Site or third-party services may allow or require you to create an account.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You agree to provide accurate information and to notify us if you believe your account has been accessed without authorization.

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent, abusive, or unlawful activity.

Your use of the Site is also subject to our Privacy Policy.

By using the Site, you acknowledge that you have reviewed our Privacy Policy.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

SELTZER KINGS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT THAT SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NOTHING IN THESE TERMS LIMITS ANY WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SELTZER KINGS, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, PRODUCTS, OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO A SPECIFIC PURCHASE OR TRANSACTION WILL NOT EXCEED THE AMOUNT YOU PAID TO SELTZER KINGS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.

17. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Seltzer Kings, LLC and its members, officers, employees, contractors, agents, affiliates, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of:

Your violation of these Terms;
Your unlawful or unauthorized use of the Site;
Your Submission or other content provided by you;
Your violation of another person's rights; or
Your violation of applicable law.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification, and you agree to reasonably cooperate with us in that defense.

18. Dispute Resolution and Arbitration

We want to resolve disputes reasonably and directly whenever possible.

Before initiating arbitration or another legal proceeding, you agree to contact Seltzer Kings at info@seltzerkings.com and provide a written description of the dispute and the relief requested. We will have a reasonable opportunity to attempt to resolve the matter informally.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms, the Site, or a purchase or service transaction that cannot be resolved informally will be resolved through individual binding arbitration in accordance with the Federal Arbitration Act and applicable arbitration rules.

The arbitration will be conducted by a single neutral arbitrator.

You and Seltzer Kings agree that disputes will be resolved only on an individual basis and not as part of a class, collective, consolidated, or representative action, except where applicable law prohibits this limitation.

Nothing in this section prevents either party from bringing an eligible individual claim in small claims court.

Nothing in these Terms prevents a consumer from exercising rights that cannot lawfully be waived.

19. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law principles, except to the extent that applicable law requires the law of another jurisdiction to apply.

20. Termination

Seltzer Kings may suspend or terminate your access to the Site or any related account or service if you violate these Terms or engage in conduct that we reasonably believe may harm Seltzer Kings, our users, our partners, or the Site.

Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law—will survive termination.

21. Changes to These Terms

We may update these Terms from time to time.

When we make changes, we will update the Effective Date at the top of this page. Material changes may also be communicated through the Site or other appropriate means.

Your continued use of the Site after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by applicable law.

22. Severability

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

23. Entire Agreement

These Terms, together with our Privacy Policy, Return Policy, and any applicable order-specific or service-specific agreement, constitute the agreement between you and Seltzer Kings regarding your use of the Site, except where a separate written agreement expressly governs a particular service or transaction.
